The terms below are made between Lucid Freight LLC ("Lucid") and Customer. Customer, to satisfy some of its transportation needs, desires to utilize the services of Lucid to arrange for transportation of Customer's freight. Lucid and Customer agree to the following terms:

1. Term — this agreement is valid until either party terminates the agreement in writing.
2. Acceptance of Goods and Services — the Broker undertakes to arrange for the handling and transport of goods for the Customer (collectively, "The Services").
3. Payments — Lucid shall invoice Customer for its services in accordance with the rates, charges and provisions set forth, and any written supplements or revisions mutually agreed to between Lucid and Customer. Customer agrees to pay Lucid's invoice within 30 days of invoice date and agrees to the following additional payment terms: (a) any freight bill charges past 60 days will incur a 1% monthly interest charge; (b) all freight bills paid by credit card are subject to a 3% administrative charge; (c) any fees, including reasonable attorney fees and litigation costs, incurred by Lucid if a collection agency or attorney is obtained to collect a past-due invoice will be the sole responsibility of the Customer; (d) the undersigned hereby consents to Lucid running a credit check on the entity named above.
4. Independent Contractor — It is understood that Lucid is not an agent for the Customer and shall remain, at all times, an independent contractor. Customer does not exercise or retain any control or supervision over Lucid, its operations, employees, or carriers.
